Terms of Service & Commercial Agreement

These Terms of Service (“Terms” or “Agreement”) constitute a legally binding contract between your commercial business entity (“Tenant”, “Factory Owner”, or “Customer”) and Opera AI (`https://operaai.in`). By registering a workspace or deploying our conversational WhatsApp AI workers, you agree to comply with all terms stipulated below.

1. Acceptance of Terms & Sovereign Scope

Opera AI provides an autonomous, metadata-driven Enterprise Resource Planning (`ERP`) and Customer Relationship Management (`CRM`) operating system tailored for Indian manufacturing and distribution ecosystems (`Morbi ceramic factories, Rajkot engineering units, Surat textile mills, Ludhiana auto parts`).

We eradicate IT and coding jargon: our platform is engineered for immediate, guided 5-minute setup right on WhatsApp (`"Rajeshbhai Patel persona"`). Access is granted exclusively for lawful commercial operations.

2. WhatsApp Cloud API v19.0 & Conversational Rules

Commercial workflows run primarily via conversational WhatsApp interfaces powered by Meta’s WhatsApp Cloud API v19.0 (`Meta Graph API`). By linking your factory WhatsApp Business number:

• Template & Intent Governance: All outbound promotional notifications must utilize Meta-approved WhatsApp message templates (`whatsapp_templates`).
• AI Transparency (`ASCI & DPDPA Mandate`): You agree not to obscure the identity of the AI assistant. Automated conversational workers must transparently disclose their AI nature (`e.g., "Opera AI Assistant"`).
• Anti-Spam & Opt-Out: You must respect customer opt-outs (`STOP / UNSUBSCRIBE`) instantly. Sending unsolicited bulk spam violates Meta Cloud API policies and will result in immediate tenant channel throttling.

3. Cash-First Billing & CGST SAC 998314 Compliance

In accordance with our Operating Principles (`Principle 0.1 & 0.2`), Opera AI operates on an Indian cash-first, postpaid wallet-credit model:

4. NIC IRP GST E-Invoicing & Proforma Orders

Opera AI includes built-in autonomous modules for generating proforma sales orders, delivery orders (`DO / Gate Passes`), and statutory Indian E-Invoices (`invoices` table):

• NIC IRP Integration: When your billing officer or AI worker issues a tax invoice exceeding statutory turnover thresholds, the system validates schemas against the National Informatics Centre (`NIC`) Invoice Registration Portal (`IRP`) to generate valid 64-character Invoice Reference Numbers (`IRN`) and dynamic QR codes (`Zod validated`).
• Audit Attribution: Every invoice created, modified, or cancelled is stamped with the exact actor identity (`AI_AGENT` vs `HUMAN_BILLING_OFFICER`) inside our immutable ledger.

5. 100% Tenant Data Ownership & Zero AI Training

Your Data Belongs Strictly to You. You retain 100% intellectual property and ownership over all customer lists, tile/product SKUs, pricing structures, ledger entries, and custom object definitions (`tenant_definitions`).

⚡ ZERO AI MODEL TRAINING GUARANTEE: Neither Opera AI nor our underlying AI model providers (`OpenAI, NVIDIA`) will ever use your proprietary business data, WhatsApp chat logs, or financial records to train foundational AI models.

6. Acceptable Use & DPDPA / ASCI Adherence

Tenants and their authorized employees (`tenant_users`) must maintain strict adherence to statutory Indian and global standards:

• No generation of fraudulent income claims, false financial numbers, or misleading commercial offers (`100% Factual Honesty Advertising Rule`).
• No unauthorized penetration testing, denial-of-service attacks, or attempts to bypass hardware Row-Level Security (`FORCE RLS`) boundaries.
• Immediate cooperation during statutory emergency takedowns mandated by CERT-In or MeitY (`Rule 3(2)(b) SGI SLAs`).

7. Service Level Objectives (`SLO`) & Uptime SLA

We target a 99.9% High-Availability Service Level Objective (`SLO`) for core API routing (`/api/tenant/*`) and WhatsApp conversational webhook processing. Our infrastructure is powered by Vercel Pro edge workers (`300s timeout / 15-min heartbeat monitor`) and resilient serverless WebSocket drop guards (`__operaAiDbProcessGuard` in `lib/db.ts`) that absorb transient network disruptions without dropping server execution.

8. Limitation of Liability & Indemnification

To the maximum extent permitted under applicable Indian laws, Opera AI’s aggregate liability for any direct operational claims arising out of this Agreement shall not exceed the total subscription fees paid by the Tenant to Opera AI during the three (`3`) months immediately preceding the incident. We shall not be liable for indirect, incidental, or consequential damages arising from third-party API outages (`Meta Cloud API or LLM vendor downtimes`).

9. Governing Law & Dispute Resolution (`Gujarat`)

This Commercial Agreement shall be governed strictly by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or statutory claim arising out of or relating to these Terms shall be subject to the exclusive legal jurisdiction of the competent civil courts located in Rājkot / Ahmedabad, State of Gujarat, India.
