Terms of Service

1. Acceptance of Terms & Scope

Opera AI provides an AI-native, metadata-driven ERP and CRM platform. By registering a workspace, linking a messaging channel, or otherwise using the services, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business. The services are provided for lawful commercial use.

2. Your Account & Workspaces

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information at sign-up and to keep it current. Workspaces may be activated only after review; until then access is limited.

3. WhatsApp Cloud API & Conversational Rules

Conversational features run primarily through the WhatsApp Cloud API provided by Meta. When you connect a WhatsApp Business number, you agree that:

• Templates & intent: outbound promotional notifications must use Meta-approved message templates where required.
• AI transparency: you will not obscure that a conversation is handled by an AI assistant. Automated messages must clearly identify their nature where required by applicable law or platform policy.
• Anti-spam & opt-out: you must honour customer opt-outs (such as STOP / UNSUBSCRIBE) without delay. Sending unsolicited bulk messages violates Meta's policies and these Terms, and may result in throttling or suspension of your channel.

4. Billing & Payments

Opera AI operates a cash-first, postpaid billing model. Offline payment methods (cash, bank transfer, UPI, and cheque) are the primary payment modes; online payment gateways are optional add-ons. Subscription plans, per-agent fees, and usage charges are as published at sign-up or in your plan. You authorise us to invoice the agreed fees and to apply applicable taxes.

5. Invoices & Tax

We support GST-ready invoice data and record-keeping. Where Indian Goods and Services Tax applies (including under SAC 998314 at the prevailing rate, currently 18%), it is levied and reflected on invoices. For other jurisdictions, taxes are applied or reported as required by local law. Direct integration with any government invoicing portal (such as India's NIC IRP) should be verified in your deployment before reliance.

6. Data Ownership & AI Training

Your data belongs to you. You retain ownership of your customer lists, product and pricing data, ledgers, and custom configurations. Opera AI processes this data on your behalf as a data processor, as further described in our Privacy Policy.

No model training on your data: Opera AI does not use your workspace data, conversations, or financial records to train its own AI models. For third-party AI providers (such as OpenAI or NVIDIA), data handling is governed by their respective terms; if you require provider-level no-training commitments, use an eligible enterprise or Bring-Your-Own-Key (BYOK) configuration.

7. Acceptable Use

You agree not to:

• Generate fraudulent, misleading, or unlawful content or offers.
• Attempt unauthorised access, or actions intended to bypass tenant isolation or other security controls.
• Interfere with the service's infrastructure or other tenants' use of it.
• Use the service to send unsolicited communications in breach of applicable law or platform policies.

8. Service Availability

We operate Opera AI with the goal of high availability on managed cloud infrastructure with health monitoring. We do not guarantee a specific uptime level. Availability may be affected by scheduled maintenance, third-party provider outages (such as Meta or AI model providers), or other factors outside our control.

9. Intellectual Property

Opera AI and its software, design, and branding are owned by us or our licensors and are licensed, not sold, to you for the duration of these Terms. You retain all rights in your data. You grant us the limited licence necessary to host, process, and transmit your data to provide the services.

10. Limitation of Liability & Indemnification

To the maximum extent permitted by law, Opera AI's aggregate liability for direct claims arising out of these Terms is limited to the fees you paid us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, or for losses caused by third-party outages beyond our control. You agree to use the service lawfully and to indemnify us against claims arising from your misuse of the service or your data.

11. Suspension & Termination

You may stop using the service and request deletion of your workspace at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the platform or other tenants. Upon termination, your right to use the service ends; we will delete or return your data as agreed, subject to legal retention obligations.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any dispute or claim arising out of or relating to these Terms is subject to the exclusive jurisdiction of the competent courts at Rajkot / Ahmedabad, State of Gujarat, India.
